Board of Directors Meeting, April 23, 2019
President Susie Collins called the meeting to order at 4:00 p.m. Quorum was met. The Secretary’s minutes from March were read and approved. Upon motion duly made and seconded, it was VOTED: To accept the minutes as read.
Treasurer Rick Fortier reported on the balances of accounts. All dues have been paid for 2019. Pepe has assumed clean-up duties for the Middle Lake weirs and will be paid $10 a month for keeping the weeds around all the signs under control. Rick discussed the need to file a tax return since we are an HOA. He is waiting to hear from a professional, and also Charlie Collins will research with his contact. Upon motion duly made and seconded, it was VOTED: To accept the Treasurer’s report.
Old Business - Signatures from Board Members were collected stating they have read the governing documents for Middle Lake. They are the Articles of Incorporation, Restrictive Covenants and Conditions, and the Bylaws. This satisfies a Florida Statute.
New Business - Sam Farney recapped the latest news regarding Vulture Control. Over the summer, there will be no noise making to disturb birds. State law dictates when Tricolored Herons are nesting, they must not be bothered. Vulture effigies will be used to discourage vultures. Monitoring over the summer, and collecting data such as photos of vultures congregating, or damage caused by them will be appreciated.
The need for a Middle Lake HOA Management Committee was discussed. This would provide a legal interface with the Registered Agent. Do we need Officer/Director insurance? Legal representation? A motion was made and approved to create this committee, It will report to the board.
Interest in the Adopt A Pond program continues. Bob will contact the speaker from the recent lecture that he and Sally Bodmer attended. More information is needed, specific to Middle Lake, after an on-site inspection.
Committee Reports - Hospitality is waiting for the CA to confirm the official date of the Fall dinner meeting. Monday, October 28th is the requested date listed in our directory. Our Commodores will be away for the summer, but Charlie Collins will fill in regarding future Raft Ups. Area Directors should know the next flag display will be May 24–28 for Memorial Day. Should you need to replace flags due to wear, there are extras. Call a board member.
Our next Board Meeting will be on October 22, 2019, at 4 p.m.
There being no further business, either old or new, upon motion duly made and seconded it was VOTED: To Adjourn. Adjourned accordingly at 5:27 p.m.

The following underlined changes and additions were approved at the General Meeting on March 11, 2008.
Change Item #3 to Read: Regular meetings of the Board of Directors shall be held at least quarterly at a time and place designated by the President. No Board of Directors meeting shall be required for the third quarter (July, August, and September).
The reason for this change is to relieve the board of the requirement to meet monthly when action is not otherwise needed. A meeting of the Board may be called at any time such a meeting is needed.
Change Item #1 to Read: There shall be a Board of Directors composed of the Officers of the Association, five elected Area Representatives, and the immediate past president. The immediate past President shall serve in an advisory, non-voting capacity.
The reason for this change is to reduce the voting board members from ten to nine to be consistent with the Articles of Incorporation which state in part "The affairs of the corporation shall be managed by its Board of Directors, which shall consist of not less than three (3) or more than (9)individuals, the precise number to be fixed by the Bylaws or by the Board of Directors of the Association from time to time.
In the event that a member wishes to have an issue addressed by the Board of Directors, such member shall submit the request for action, in writing, to the Secretary of the Association. The Board will review and address the issue within thirty (30) days.
The reason for the amendment is to formalize any complaint or concern voiced by a member and to ensure it receives full consideration by the Association leadership.
